On November 18, 2024, the Company, Fusion Fuel Green PLC, an Irish public limited company listed on NASDAQ under the ticker symbol "HTOO" ("Fusion Fuel"), Ilustrato Pictures International Inc. ("Ilustrato"), and certain other stockholders of the Company (together with Ilustrato, the "Sellers") entered into a Stock Purchase Agreement (the "Purchase Agreement") to transfer a total of 78,312,334 shares of common stock and 20,000 shares of Series B Preferred Stock to Fusion Fuel, representing approximately 69% of the capital stock of the Company.
