In connection with the First Tranche, NV Gold issued 1,000,000 units (each, a "Unit") at a price of $0.20 per Unit for aggregate gross proceeds of $200,000.

Each Unit will consist of one common share in the capital of the Company (a "Common Share") and one common share purchase warrant (a "Warrant").
